End User License Agreement

License terms for Agents using ExVIA under a valid POA. ExVIA is not a bank, law firm, or financial institution.

1. License Grant

ExVIA grants the Agent a limited, non-exclusive, non-transferable, revocable license to use the ExVIA application to manage Matters for Principals under a valid POA. No other rights are granted.

2. Roles and Definitions

  • Principal: The individual granting POA authority.
  • Agent: The authorized user acting under a valid POA.
  • Matter: An individual file, task, or record being managed in ExVIA.

3. Scope and Restrictions

  • Use only for POA-authorized activities for Principals you represent.
  • Do not copy, modify, reverse engineer, or create derivative works of the software.
  • Do not bypass security controls or access data you are not authorized to manage.
  • Do not use ExVIA to provide banking, legal advice, financial-institution services, or correctional trust services.

4. Data

You input and control data for Matters. You represent you have authority to submit that data. ExVIA hosts the data to provide the service and does not verify its accuracy or legality.

5. Non-Institutional Status Statement

ExVIA is not a bank, credit union, trust company, correctional vendor, or law firm. It does not hold funds, provide legal advice, or process inmate trust accounts. It solely hosts POA-authorized records and audit logs.

6. Ownership

The ExVIA software, logo, and content are owned by ExVIA/CompileDaddy and are protected by intellectual property laws. No ownership is transferred to you.

7. Updates

We may provide updates or modifications. These are part of the licensed software and subject to this EULA.

8. Term and Termination

This license is effective until terminated. We may suspend or terminate access for breach, misuse, or legal requirement. Upon termination, you must stop using ExVIA. Sections intended to survive will continue.

9. Disclaimers

ExVIA is provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant uninterrupted or error-free operation.

10. Limitation of Liability

To the maximum extent permitted by law, ExVIA and its affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, data, or goodwill. Aggregate liability is limited to the greater of (a) fees paid to ExVIA in the 12 months preceding the claim, or (b) $100.

11. Indemnity

You agree to indemnify and hold ExVIA harmless from claims arising out of your POA scope, your data, or your breach of this EULA.

12. Governing Law and Disputes

This EULA is governed by Idaho law, excluding conflict-of-law rules. Disputes will be resolved by binding arbitration where permitted, venue Idaho, USA, after good-faith negotiation.

13. Miscellaneous

If any provision is unenforceable, the remaining provisions remain in effect. This EULA, with the Terms of Service, forms the full agreement for software use.
